Germany Opens Dialogue With UniCredit Over Commerzbank Takeover Bid

Berlin is willing to engage with UniCredit while maintaining its preference for an independent Commerzbank.

Germany, Berlin – Germany’s government is prepared to engage directly with UniCredit over the Italian lender’s push to expand its control of Commerzbank, signaling a more pragmatic approach while maintaining its opposition to a takeover that would undermine the German bank’s independence.

Government spokesman Sebastian Meyer said on Aug. 28 that there were no talks to announce, while emphasizing Commerzbank’s importance to financing the German economy and small and medium-sized businesses. Berlin also considers the bank important to Frankfurt’s financial center.

The shift in tone comes as UniCredit continues to pursue a larger position in Commerzbank, but German officials have stressed that opening a dialogue does not amount to supporting the Italian bank’s takeover plans.

Berlin maintains its independence position

The German Finance Ministry said its position had not changed and that Commerzbank’s independence remained its preference.

A ministry representative said the banks had entered negotiations, making it important for Berlin to restate its position. The government has previously argued that Commerzbank plays an important role in Germany’s economy and should not be absorbed simply because discussions between the two lenders are progressing.

That leaves Berlin willing to communicate with UniCredit without endorsing its proposed ownership structure.

Commerzbank’s economic role weighs heavily

Germany’s position reflects Commerzbank’s role as a major source of financing for domestic businesses, particularly the Mittelstand, the country’s network of small and medium-sized companies.

The government has also highlighted the bank’s importance as an employer and its contribution to Frankfurt’s financial center. Those factors remain central to Berlin’s assessment of any potential change in ownership.

UniCredit has steadily expanded its position

UniCredit has spent months seeking greater influence over Commerzbank.

In March, the Italian banking group announced a voluntary exchange offer intended to take its holding above 30% without immediately pursuing control. UniCredit said the proposal was designed to encourage constructive engagement with Commerzbank and other stakeholders.

The offer formally launched in May, allowing shareholders to exchange Commerzbank shares for UniCredit stock.

Shareholder response remains limited

The response from Commerzbank shareholders has complicated UniCredit’s efforts.

Commerzbank said in July that 17.60% of its shares had been tendered by the end of the additional acceptance period. Based on information available to the German bank about its shareholder structure, however, less than 2% of shares held by institutional and retail investors had been tendered.

Commerzbank said the results demonstrated limited support for UniCredit’s offer among independent investors.

Commerzbank remains open to engagement

Despite its opposition to a takeover, Commerzbank has said it remains willing to hold constructive discussions with UniCredit.

The German lender continues to promote its Momentum 2030 strategy and has argued that sustainable value creation should account for the interests of all stakeholders.

That position leaves room for negotiations without accepting UniCredit’s eventual control of the bank.

Berlin adopts a more pragmatic tone

The government’s willingness to engage marks a change in tone from its earlier resistance to UniCredit’s approach.

In May, Berlin said it supported Commerzbank’s independence and considered a hostile or aggressive takeover unacceptable, particularly because of the bank’s systemic importance.

By late August, officials were prepared to recognize the need for dialogue as negotiations between the banks progressed. They nevertheless continued to distinguish engagement from approval of UniCredit’s plans.

UniCredit sees strategic opportunity in Germany

For UniCredit, a stronger position in Commerzbank would significantly expand its presence in Germany and reinforce its broader European banking operations.

The Italian group has argued that its proposal could create additional value while allowing it to increase its holding beyond the 30% threshold. Its March announcement described the exchange offer as a means of facilitating engagement rather than immediately establishing control.

The outcome will depend on the continued negotiations, regulatory clearances and shareholder support.

Government stake gives Berlin influence

Berlin’s ownership position adds another dimension to the contest.

The German government has confirmed that it holds a 12% stake in Commerzbank and has said it supports the bank’s independence.

That makes the government more than a political observer. Its decisions regarding the state-held shares could affect the ownership balance as UniCredit seeks to increase its influence.

Regulatory approvals remain critical

The ownership dispute is also subject to Germany’s financial regulatory framework.

UniCredit’s offer and subsequent transfers of shares require relevant regulatory clearances. Commerzbank has said that transfers of tendered shares and associated voting rights remain subject to those approvals.

The regulatory process therefore remains separate from the political discussions between Berlin and UniCredit and could influence the pace and outcome of the transaction.

Dialogue falls short of takeover approval

The distinction between communication and endorsement remains central to the latest development.

Berlin is prepared to hear UniCredit’s case while continuing to emphasize Commerzbank’s strategic role and independence. The Finance Ministry has explicitly said the government’s position has not changed.

For UniCredit, however, direct engagement with German officials could provide an opportunity to address concerns surrounding the proposed change in ownership as the process advances.

Commerzbank contest enters a new phase

The dispute is moving into a stage where political engagement, negotiations between the banks, shareholder decisions and regulatory reviews will proceed in parallel.

UniCredit has established a significant position but has not secured uncontested control, while Commerzbank continues to pursue its independent strategy. Berlin is now willing to engage with the Italian lender without abandoning its preference for an independent Commerzbank.

The next stage will turn on whether UniCredit can build sufficient support among shareholders and regulators while addressing the strategic concerns that remain central to the German government’s position.
