Nelson Peltz Offers $1.4 Billion to Take Wendy’s Private as Sales Struggle

Trian and three partners propose $7.35 a share in cash, but the non-binding offer faces negotiations as Wendy’s battles falling restaurant sales and weaker profits.

DUBLIN, Ohio – Nelson Peltz’s Trian Fund Management and three partners have proposed taking The Wendy’s Company private for $7.35 per share in cash, valuing the equity purchase at approximately $1.4 billion and putting the burger chain’s deteriorating financial performance at the center of a potential ownership change.

A Schedule 13D amendment filed on October 28, 2026, says Trian, restaurant operator Flynn Group, BlueFive Capital and Sixth Street Partners submitted a non-binding proposal to acquire Wendy’s outstanding common shares that the group does not already beneficially own. The proposed price represents a premium of about 20% to Wendy’s October 27 closing price of $6.14.

The filing describes an expression of interest, not a completed agreement. The parties must still negotiate and execute mutually acceptable definitive documents, and the filing does not establish that Wendy’s board has recommended the transaction or that shareholders have approved it.

A proposal shaped by a difficult operating year

The offer comes as Wendy’s works to reverse a decline in restaurant sales and profitability. Its second-quarter 2026 results showed a sharp fall in comparable restaurant sales, weaker operating profit and lower net income compared with the same quarter a year earlier.

For the three months ended June 28, 2026, Wendy’s reported revenue of $570.6 million, up 1.7% from $560.9 million in the second quarter of 2025. That increase in reported revenue did not translate into stronger profitability: operating profit fell 24.0%, to $79.3 million from $104.3 million, while net income declined 40.8%, to $32.6 million from $55.1 million.

Global same-restaurant sales decreased 6.3% year over year. The U.S. measure fell 7.0%, while international same-restaurant sales declined 2.3%. Global systemwide sales, which include sales at company-operated and franchised restaurants, dropped 6.5% to approximately $3.42 billion.

These figures measure different parts of the business. Reported revenue reflects amounts recognized by Wendy’s, while systemwide sales include purchases made by customers at restaurants owned and operated by franchisees as well as company-operated locations. A decline in systemwide sales does not translate dollar for dollar into a decline in the parent company’s revenue.

Margins and franchise economics under pressure

Wendy’s restaurant-level economics also weakened. The company’s U.S. company-operated restaurant margin was 13.8% in the second quarter, down from 16.2% a year earlier, a contraction of 240 basis points. Global company-operated restaurant margin was 13.6%, a decline of 200 basis points from the comparable 2025 period.

The company’s management has identified traffic, its value proposition and franchisee economics as areas requiring improvement. Its announced turnaround priorities include rebuilding a quality menu at compelling prices, improving marketing, strengthening restaurant operations, expanding the contribution of digital channels and using restaurants as a platform for growth.

Those priorities were disclosed by Wendy’s before the take-private proposal. The filing does not establish that the consortium has committed to a separate, detailed operating plan or that any particular turnaround measures would be adopted following a transaction.

Debt, cash and the cost of a turnaround

Wendy’s balance sheet is another consideration for any prospective owner. At June 28, 2026, the company reported $341.2 million in cash and cash equivalents, alongside approximately $2.75 billion in current and long-term debt. The balance sheet also included substantial finance- and operating-lease liabilities, which are separate from the reported debt figures.

For the first six months of 2026, Wendy’s generated $160.0 million in net cash from operating activities and reported $120.3 million in free cash flow. Those figures provide a view of cash generation during the first half of the year, but they do not guarantee future performance or establish how much cash would be available for debt repayment after operating needs, investment and other obligations.

The consortium’s filing says the proposed financing would combine equity from the proposal parties, BlueFive Capital and other investors with a rollover of shares beneficially owned by members of the filing group. It says the proposal would not require new debt and anticipates that Wendy’s existing securitization financing would remain in place. However, the equity-financing component remained under negotiation, and the filing did not establish that binding financing commitments had been completed.

Who is behind the offer?

Trian, led by Peltz, is an existing Wendy’s shareholder and the consortium’s central investment firm. The filing says the relevant filing persons beneficially owned 30,979,420 shares as of October 27, representing approximately 16.25% of Wendy’s outstanding common stock, based on the company’s reported share count as of July 31.

Flynn Group brings a direct commercial relationship with the restaurant chain. It operates Wendy’s franchised restaurants and has a broader role in the company’s franchise system, including as master franchisee in Australia and New Zealand. That relationship gives Flynn operating experience with the brand, while also creating a material commercial interest in the future of Wendy’s franchise economics. The filing says Flynn and Trian agreed to cooperate on the proposal and allocate related costs, expenses and responsibilities.

BlueFive Capital and Sixth Street Partners are named as participants in the proposed transaction and its financing. The public filing describes their participation in the proposed equity funding but does not, by itself, establish each party’s final capital commitment, investment share or governance rights. Those details should not be treated as settled until definitive transaction documents are available.

What the offer means for shareholders

At $7.35 a share, the proposal is approximately 19.7% above Wendy’s October 27 closing price of $6.14. The filing’s approximate 20% premium uses that specific closing price as its comparison point; it is not a premium to every price at which the stock has traded historically.

Wendy’s shares were trading at $6.14 at the October 27 close, within a reported 52-week range of $5.94 to $10.12. The offer therefore sits above the recent closing price but below the top of that range. On October 28, the stock moved higher after the proposal became public, illustrating that market prices can respond quickly to takeover news. The closing price for October 28 was not used here as a final-day result because the market was still open in the available trading record.

The headline equity value of about $1.4 billion is an estimate based on approximately 194 million fully diluted shares, using the treasury-stock method described in the filing. It should not be confused with an enterprise value that includes debt and other financial obligations.

For shareholders, a cash offer could provide a defined exit price if it becomes a binding transaction and closes. But the stated premium does not guarantee acceptance or completion. The board could reject the proposal, negotiations could fail, financing terms could change, or the parties could be unable to agree on definitive documents. Shareholders also remain exposed to market movements while the proposal is unresolved.

Board response and next steps remain unresolved

The filing confirms that Wendy’s received the proposal on October 28. The public materials reviewed for this article did not establish that the company had accepted it, recommended it to shareholders, entered into a definitive merger agreement or begun a shareholder vote. No completed transaction or regulatory clearance is established by the proposal itself.

The next material developments would include any formal response from Wendy’s board, disclosure of a special committee or other review process, further communications from the consortium, and any definitive agreement or financing commitments. If the proposal advances, the terms and timetable of shareholder and regulatory steps would need to be confirmed from official company and regulatory records.

Wendy’s is already pursuing its own recovery plan under management that has acknowledged problems with traffic, value and franchisee economics. The central question is whether the consortium can negotiate a transaction that the board considers attractive and financeable—and whether private ownership would provide a credible path to better restaurant performance. Those questions remain open; the offer alone does not establish that a turnaround will succeed.
