Former WWE CEO Vince McMahon Reaches Settlement with SEC Over Undisclosed Agreements

McMahon’s Resignations and Investigations:

  • McMahon first stepped down as WWE CEO in 2022 amid investigations into allegations mirroring those in a federal lawsuit.
  • In January 2024, he resigned from TKO Group Holdings (WWE’s parent company) after a former employee filed a lawsuit accusing him of sexual misconduct.
  • McMahon has consistently denied the allegations but faced mounting scrutiny.

SEC Settlement:

  • McMahon agreed to:
    • Civil Penalty: Pay $400,000.
    • Reimbursement: Repay WWE approximately $1.3 million.
    • Cease-and-Desist Order: Comply with SEC rules prohibiting such violations.
  • Without admitting or denying the SEC’s findings, McMahon labeled the issues as “minor accounting errors” in a prepared statement. “Today ends nearly three years of investigation… I’m thrilled that I can now put all this behind me,” he said.

Legal Developments:

  • Civil Case: Ann Callis, attorney for Janel Grant (a former WWE employee accusing McMahon of sexual battery and trafficking), stated the SEC charges confirm McMahon’s unlawful behavior. Callis argued that McMahon coerced Grant into signing a non-disclosure agreement, violating the law.
  • Criminal Investigation: Prosecutors in the Southern District of New York are continuing their investigation but declined to comment.

McMahon’s Legacy at WWE:

  • McMahon transformed WWE from a regional operation into a global entertainment giant. After acquiring the World Wrestling Federation in 1982, he elevated wrestling to mainstream popularity, securing professional sports stadiums and launching successful programs like “Raw”.
  • WWE’s latest milestone includes the debut of “Raw” on Netflix, which garnered 4.9 million views globally and reached 2.6 million U.S. households, according to VideoAmp.
