The U.S. Department of Justice has completed its antitrust review of the proposed acquisition of Paramount Skydance’s planned takeover of Warner Bros. Discovery, determining that the transaction is not expected to harm competition or consumers in the media and entertainment sector.

According to the Justice Department’s antitrust division, which announced the decision on Friday, the review has been closed after concluding that the merger is likely to “increase competition across the media and entertainment ecosystem,” with potential benefits for both consumers and workers. The decision removes a major U.S. regulatory hurdle for one of the most closely watched consolidation deals in Hollywood.

The proposed transaction, agreed in late February, would see Paramount Skydance acquire Warner Bros. Discovery in a deal valued at about $81 billion, according to previously disclosed terms cited in the reporting. The acquisition followed months of negotiations and competing interest from Netflix, which ultimately did not succeed in its bid. Paramount Skydance itself was formed after Skydance acquired Paramount last year.

Streaming competition deemed likely to intensify

Regulators focused heavily on whether combining two major media libraries could distort competition in video streaming. However, the Justice Department concluded that the merged company would likely strengthen competition by creating a “more robust competitive alternative” to dominant streaming platforms.

The assessment also addressed the role of social media platforms such as YouTube and TikTok, noting that while they compete for consumer attention, they were not considered direct substitutes for streaming services under established antitrust frameworks.

In traditional television markets, regulators similarly found limited risk of reduced competition, citing continued strong rivalry in live programming and linear broadcast offerings.

Film production market seen as resilient

On the theatrical film side, the Justice Department determined that combining two major studio operators would not significantly reduce competition in film development, production, or distribution.

Instead, the agency pointed to what it described as sustained competition across Hollywood, which it said has contributed to increased output and diversity in film offerings. The conclusion suggests regulators see the studio landscape as structurally competitive despite ongoing consolidation pressures.

Industry pushback and labor concerns remain

Despite regulatory clearance in the U.S. antitrust review, the deal continues to face opposition from parts of the entertainment industry. Thousands of actors, writers, directors, and other professionals have voiced concern that further consolidation could reduce job opportunities and limit creative output.

Some lawmakers have also raised concerns about industry concentration, warning that fewer independent decision-makers in Hollywood could reshape production pipelines and employment structures.

Paramount Skydance chief executive David Ellison has previously said the combined company intends to keep Paramount and Warner Bros. operating as separate film studios while aiming to release around 30 films annually in theaters. The company has also acknowledged that cost reductions are expected due to overlapping operations.

Global regulatory scrutiny continues

While the U.S. Justice Department has now signaled it will not challenge the transaction, the merger still faces regulatory review in other jurisdictions. California Attorney General Rob Bonta has said his office is examining the deal, while European regulators are conducting their own assessment.

The European Commission has set a tentative July 7 deadline for its review, while the UK Competition and Markets Authority is targeting an initial decision by early August.

Paramount Skydance and Warner Bros. Discovery have previously indicated they aim to close the deal in the third quarter. The agreement also includes financial provisions tied to delays, including a 25-cent per share quarterly “ticking fee” if closure extends beyond September 30, alongside a regulatory termination fee reportedly set at $7 billion.

Regulator Identifies Google’s Dominant Role in U.K. Search Advertising

Published: October 12, 2025, 21:45 EDT

Britain’s antitrust authority has officially designated Google as a “strategic” actor in the country’s online search advertising market, a move that could compel the tech giant to alter its business operations to foster fairer competition.

The decision by the Competition and Markets Authority (CMA) marks the first use of new powers introduced under the U.K.’s Digital Markets, Competition and Consumers Act, which came into effect earlier this year.

Designation Marks a New Regulatory Phase

In a statement released Friday, the CMA said its review concluded that Google holds “substantial and entrenched market power” in general search and search advertising. The watchdog added that the company’s influence places it in a unique position to shape market outcomes and competitive dynamics.

The “strategic market status” label, however, does not accuse Google of misconduct. Instead, it grants the CMA authority to impose “proportionate and targeted measures” to ensure that search services remain open to fair competition and that both consumers and advertisers benefit from a balanced marketplace.

Google Accounts for Over 90% of U.K. Searches

Online search advertising involves the paid listings that appear alongside Google’s organic search results, typically labeled as “Ad” or “Sponsored.” According to the CMA, Google commands more than 90% of online searches in the U.K., making it a gateway for over 200,000 British businesses that depend on Google Ads to reach potential customers.

The CMA said it would begin formal discussions with Google later this year to determine what remedies, if any, might be implemented.

No Immediate Interventions Announced

While the regulator has not yet proposed specific changes, potential measures previously outlined include offering users “choice screens” for rival search engines in products like the Chrome browser or Android mobile operating system.

Other possible remedies could involve ensuring non-discriminatory ranking of search results, mandating transparency in ad placement, and establishing a complaint resolution process for businesses that allege unfair treatment in Google’s advertising system.

Google Responds to New Oversight

In response, Google said it expected increased regulatory scrutiny as governments globally reassess the influence of major digital platforms.

“Many of the ideas for interventions that have been raised in this process would inhibit U.K. innovation and growth, potentially slowing product launches at a time of profound AI-based innovation,” Oliver Bethell, Google’s senior director for competition, wrote in a company blog post.

He added that certain proposals could “pose direct harm to businesses,” warning that compliance costs might force some advertisers to increase prices for consumers.

Broader Push for Digital Accountability

The CMA’s action comes amid a global trend of tightening oversight on Big Tech firms, as regulators seek to ensure competitive balance in digital markets dominated by a handful of companies.

The watchdog’s decision reflects growing concern that Google’s dominance in online search advertising could undermine smaller rivals and distort market access for new entrants.

Parallel Investigations into Apple and Google Ecosystems

Google is also the subject of a separate CMA inquiry, alongside Apple, to determine whether their respective mobile ecosystems should similarly be designated as having strategic market status.

A decision on that investigation is expected by October 22, 2025, and could further expand the regulator’s ability to impose legally binding requirements on how these companies operate in the U.K.

Path Forward for Competition Policy

The U.K. government’s updated digital competition rules are designed to give regulators more agile enforcement tools against tech monopolies, allowing them to act preemptively before markets become fully monopolized.

The CMA said it intends to collaborate with Google and other industry stakeholders in the coming months to explore “fair, proportionate, and innovation-friendly” solutions that maintain open competition.

For now, the agency has not indicated when specific regulatory measures might take effect.

A Global Regulatory Precedent

Analysts suggest the CMA’s move could serve as a test case for other jurisdictions, including the European Union and the United States, where regulators are also considering stronger frameworks to manage the influence of dominant digital platforms.

The U.K. watchdog’s decision underscores a growing international effort to rebalance power in the digital economy and ensure a level playing field for emerging competitors.

Source: AP News – UK watchdog targets Google’s ‘strategic’ role in search ads and a competitive market

Country Music’s Growing Influence: New Artists and Grammy Prospects

NEW YORK (AP) — Country music is rapidly becoming a dominant force in mainstream pop music. Artists like Beyoncé and Post Malone, who were not traditionally associated with country, have recently released albums in the genre.

While these albums have gained popularity, their chances of receiving Grammy nominations remain uncertain.

Beyoncé’s groundbreaking album, “Cowboy Carter,” has reshaped the narrative around Black artists in country music, making her the first Black woman to reach No. 1 on the Billboard country albums chart.

Shaboozey’s hit, “A Bar Song (Tipsy),” is currently the biggest song of the year, holding the record for the most weeks at No. 1 on the Billboard Hot 100. This track blends his country sound with a sample from J Kwon’s 2004 hit, “Tipsy.” This summer, he made history as only the second Black artist to top both the pop and country singles charts simultaneously.

Post Malone has also smoothly transitioned into country music, making appearances in Nashville and performing at the Grand Ole Opry. His collaboration with Morgan Wallen, “I Had Some Help,” has become a chart success.

As the Grammy nominations approach, here are key points to know about the country categories:

Key Grammy Categories for Country Music

The Grammys feature four main country music categories:

Best Country Album

Best Country Solo Performance

Best Country Duo/Group Performance

Best Country Song (awarded to the songwriters)

Each category will recognize five nominees.

Who Submitted Nominations?

Beyoncé, Shaboozey, and Post Malone have all submitted works in these major country categories. Beyoncé’s “Cowboy Carter” is up for best country album, while Shaboozey’s “A Bar Song (Tipsy)” and Post Malone’s “I Had Some Help” are submitted for country song and duo/group performance categories.

They will likely compete against strong contenders for the best country album nomination, including Luke Combs, Kacey Musgraves, and Chris Stapleton.

Beyoncé’s Grammy Chances

Beyoncé did not receive nominations for “Cowboy Carter” at the 2024 Country Music Association Awards (CMAs), a decision that has drawn criticism. Country artist Mickey Guyton expressed disappointment over this outcome, which reflects Nashville’s insular music scene.

Guyton noted that establishing a presence in Nashville can enhance an artist’s chances of acceptance in the country community, and Beyoncé’s absence might have affected her Grammy nominations. If she secures a nomination for best country album, she would become only the second Black artist to achieve this, following Guyton.

Post Malone’s Grammy Prospects

Many believe Post Malone has a strong chance of receiving Grammy nominations due to his popularity in country music. He has worked with numerous country artists and received positive reactions from country radio.

However, his collaboration with Wallen might pose a challenge, considering Wallen’s controversial past. Despite Wallen’s popularity, he has yet to receive a Grammy nomination.

Shaboozey’s Grammy Chances

Shaboozey’s success is likely to center on his hit “A Bar Song (Tipsy),” which combines country and pop influences. The song’s popularity on both country and all-genre charts is a promising sign for its recognition at the Grammys.

Shaboozey made history as the first Black male artist to reach No. 1 on the country songs and airplay charts, indicating strong support from country radio.

As the Grammys approach, it will be interesting to see if the Academy embraces these genre-blurring artists and their contributions to country music.
